        Introduced  by  Sen.  KAPLAN -- read twice and ordered printed, and when
          printed to be committed to the Committee on Corporations,  Authorities
          and  Commissions -- reported favorably from said committee, ordered to
          first report, amended on first report, ordered to a second report  and
          ordered reprinted, retaining its place in the order of second report

        AN  ACT  to amend the business corporation law and the limited liability
          company law, in relation  to  directing  the  secretary  of  state  to
          provide information to certain new businesses
 
          The  People of the State of New York, represented in Senate and Assem-
        bly, do enact as follows:
 
     1    Section 1. Section 408 of the business corporation law is  amended  by
     2  adding a new paragraph 9 to read as follows:
     3    9.  Upon  the  receipt  of  a statement for filing by the secretary of
     4  state pursuant to this section, the secretary  of  state  shall  confirm
     5  such receipt by mail or email to the corporation at the address or email
     6  address set forth in such statement. In addition, the secretary of state
     7  shall  include,  but not be limited to including, the following informa-
     8  tion in such mailing or email:
     9    (a) contact  information,  including,  but  not  limited  to  website,
    10  address  and  telephone  number,  of  the  New York state small business
    11  development center serving their region;
    12    (b) contact  information,  including,  but  not  limited  to  website,
    13  address  and  telephone  number,  of the New York state entrepreneurship
    14  assistance center serving their region;
    15    (c) contact information, including, but not limited to,  the  website,
    16  address and telephone number of business mentor NY; and
    17    (d)  contact  information,  including,  but  not  limited  to website,
    18  address and telephone number, of empire state  development.  Information
    19  regarding  empire state development shall include direction to resources
    20  available on such website to support and assist new businesses.
    21    § 2. Section 205 of the limited liability company law  is  amended  by
    22  adding a new subdivision (e) to read as follows:
    23    (e)  Upon the receipt of an application to reserve a limited liability
    24  company name by the department of state pursuant to  this  section,  the

     1  department  shall  confirm  such receipt by mail or email to the limited
     2  liability company at the address or email  address  set  forth  in  such
     3  application.  In  addition,  such  department  shall include, but not be
     4  limited  to  including,  the  following  information  in such mailing or
     5  email:
     6    (1) contact  information,  including,  but  not  limited  to  website,
     7  address  and  telephone  number,  of  the  New York state small business
     8  development center serving their region;
     9    (2) contact  information,  including,  but  not  limited  to  website,
    10  address  and  telephone  number,  of the New York state entrepreneurship
    11  assistance center serving their region;
    12    (3) contact information, including, but not limited to,  the  website,

    14    (4)  contact  information,  including,  but  not  limited  to website,

    18    § 3. This act shall take effect on the sixtieth  day  after  it  shall
    19  have become a law.
