        Introduced  by  Sen. HOYLMAN -- read twice and ordered printed, and when
          printed to be committed to the Committee on Corporations,  Authorities
          and Commissions
 
        AN  ACT to amend the public authorities law, in relation to the determi-
          nation of a quorum for the transaction of business  of  the  New  York
          convention center operating corporation

          The  People of the State of New York, represented in Senate and Assem-
        bly, do enact as follows:
 
     1    Section 1. Subdivision 3 of section 2562  of  the  public  authorities
     2  law,  as  added by chapter 35 of the laws of 1979, is amended to read as
     3  follows:
     4    3. A majority of the [whole number of the  members]  appointed  voting
     5  membership  of  the board of directors shall constitute a quorum for the
     6  transaction of any business or the exercise of any power of  the  corpo-
     7  ration.  The  powers  of  the  corporation shall be exercised, or may be
     8  delegated to one or more directors, officers, agents or employees, by  a
     9  majority  of  the [whole number of the members] appointed voting member-
    10  ship of the board of directors. No vote at such meeting shall be cast by
    11  proxy. [For the purpose of this subdivision  the  words  "whole  number"
    12  shall  be construed to mean the total number which such board would have
    13  were there no vacancies and were none  of  the  members  of  such  board
    14  disqualified from acting.]
    15    § 2. This act shall take effect immediately.
